These Terms of Service (“Terms”) govern your access to and use of the website datawise.one and the general framework for engaging DataWise Pte. Ltd. (“DataWise”, “we”, “us”, or “our”) for analytics and AI consulting services. By accessing our website or engaging our services, you agree to these Terms.

2. Website use
You may use our website for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable laws or regulations in Singapore or your jurisdiction
- Attempt to gain unauthorised access to our systems, networks, or data
- Transmit malware, spam, or harmful code
- Scrape, crawl, or harvest content or data without our prior written consent
- Impersonate DataWise or misrepresent your affiliation with us
- Interfere with the proper functioning of the website
We reserve the right to restrict or terminate access to the website for conduct that violates these Terms or poses a security risk.
3. Services and engagements
Information on this website — including solution descriptions, pricing indicators, and case studies — is provided for general information only and does not constitute a binding offer. Specific engagements are governed by a separate proposal, statement of work, or master services agreement (“MSA”) signed by both parties.
In the event of conflict between these Terms and a signed MSA or statement of work, the signed agreement prevails for the relevant engagement.
4. Enquiries and communications
Submitting a contact form or enquiry does not create a client relationship. We will review your submission and respond within a reasonable timeframe. We reserve the right to decline engagements that fall outside our expertise, capacity, or ethical guidelines.
5. Intellectual property
5.1 Website content
All content on datawise.one — including text, graphics, logos, layouts, and software — is owned by or licensed to DataWise and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent, except for personal, non-commercial viewing or as permitted by law.
5.2 Client deliverables
Ownership and licensing of deliverables produced under a paid engagement are defined in the applicable MSA or statement of work. Unless otherwise agreed in writing, custom dashboards, reports, and documentation created specifically for a client are licensed or assigned as set out in the engagement contract.
5.3 Client data
You retain ownership of data you provide to us. You grant us a limited licence to use client data solely to perform agreed services, subject to our Privacy Policy and applicable confidentiality obligations.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during discussions or engagements, except where disclosure is required by law, authorised in writing, or already publicly available through no fault of the receiving party. Specific confidentiality terms may be set out in a mutual non-disclosure agreement or MSA.
7. Fees and payment
Pricing displayed on the website (including solution collection prices) is indicative and subject to scope confirmation. Binding fees, payment schedules, and expenses are specified in signed proposals or contracts. Late payments may incur interest at rates permitted under Singapore law and may result in suspension of services.
8. Warranties and disclaimers
The website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by Singapore law, we disclaim all warranties — express or implied — including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Analytics outputs, forecasts, and AI-generated summaries are decision-support tools. They do not constitute financial, legal, or professional advice. You are responsible for validating outputs and making your own business decisions.
9. Limitation of liability
To the maximum extent permitted by Singapore law:
- DataWise shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunity — arising from your use of the website or our services.
- Our total aggregate liability for any claim arising from website use (excluding paid engagements governed by a separate contract) shall not exceed SGD 500.
- For paid engagements, liability limits are as specified in the applicable MSA or statement of work.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence or fraud.
10. Indemnity
You agree to indemnify and hold harmless DataWise, its directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the website, or violation of any third-party rights — except to the extent caused by our gross negligence or wilful misconduct.
11. Third-party services and links
Our website may reference or link to third-party platforms, tools, or websites. We do not control and are not responsible for third-party content, availability, or practices. Your use of third-party services is at your own risk and subject to their terms.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms and complies with the Personal Data Protection Act 2012 of Singapore (PDPA).
13. Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control — including natural disasters, pandemics, government actions, power failures, telecommunications outages, or cyberattacks — provided we notify you promptly and use reasonable efforts to resume performance.
14. Termination
We may suspend or terminate your access to the website at any time for violation of these Terms. Engagement-specific termination rights are set out in the applicable contract. Provisions that by nature should survive termination — including intellectual property, confidentiality, limitation of liability, and governing law — shall survive.
15. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising from or relating to these Terms or your use of the website, subject to any mandatory arbitration or dispute resolution provisions in a signed MSA.
16. Dispute resolution
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve disputes through negotiation. Either party may refer the matter to mediation administered by the Singapore Mediation Centre or another mutually agreed mediator. Nothing in this clause prevents either party from seeking urgent injunctive relief.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire agreement
These Terms, together with our Privacy Policy and any signed engagement documents, constitute the entire agreement regarding website use. For specific projects, signed contracts supplement and, where applicable, supersede these Terms.
19. Changes
We may update these Terms from time to time. The revised version will be posted on this page with an updated date. Continued use of the website after changes constitutes acceptance of the revised Terms. Material changes to terms governing active engagements require agreement through the applicable contract process.
